Directors: Indian Nationals

Indian nationals are required to submit the following requirements for registering a company in india in India:

Registration of the company will require a copy of the proposed Directors’ PAN card. Indian income tax departments issue PANs as unique identification numbers. As part of the incorporation process, Indian National Directors must have PANs.

A PAN Card specifies that the Ministry of Corporate Affairs will handle all company-related matters. A PAN card must be updated whenever a name changes, whether due to marriage or any other reason.

Address Proof:

It is mandatory to attach an address proof to the copy of the PAN card. In addition to the director’s name and address, the address proof must include the PAN number and director’s address on their PAN cards. In addition, one month must have passed since the date of the document. Here are some examples of documents that can be used as proof of address for Indian citizens.

  • Passport
  • Election Card or Voter Identity Card
  • Ration Card
  • Driving License
  • Electricity Bill
  • Telephone Bill
  • Aadhaar Card

An address proof along with a residential proof are required for incorporating the company. A residential proof must also be no more than two months old, as well as the name of the Director on the PAN card. As proof of residence, you can use the following documents:

  • Telephone Bill
  • Mobile Bill

Director: Foreign Nationals

Documents required for foreign nationals to register a company in India include:

Passport:

Foreign nationals are required to carry a passport as proof of their identity. A passport may also need to be notarized or apostilled depending on where it was issued. An English document must be translated and apostilled or notarized.

Passports without birthdates must be accompanied by a notarized or apostilled document.

Address Proof:

Documents proving your address and passport must be notarized or apostilled. In order to verify address and name on a Director’s passport, the passport must match the address and name on the address proof. Furthermore, foreign nationals need to provide documents that are less than one year old. These documents can be used to prove an address by foreign nationals.

  • Driving License
  • Residence Card
  • Bank Statement
  • Government issued form of identity containing address.

It is necessary to translate, notarize, or apostil foreign language documents.

Residential Proof:

An additional proof of address is required for directors when incorporating a company. The residence proof must also include the director’s name in addition to the name on the passport. Among the documents that prove residency are:

  • Bank Statement
  • Electricity Bill
  • Telephone Bill
  • Mobile Bill

It is necessary to translate, notarize, or apostil foreign language documents.

Registered Office Proof

Validating the registered office address, directors’ addresses, and their residential addresses is essential. It is required to present the following documents when registering a company or within 30 days of incorporation in order to prove its registered office.

  • A registrar’s certificate of title occupies the registered office of a company;
  • A notarized copy of the lease or rental agreement and one month’s worth of rental receipts;

In addition to the above, the following must also be provided as proof of registered office:

  • A company’s authorization to operate from the premises listed on the utility bill, gas bill, water bill, title deed, or property tax receipt. Landlords issue NOCs; and
  • A document showing the address of the premises or proof of utility service, such as telephone, gas, or electricity.

Shareholder: A citizen of India or a citizen of another country

It is mandatory for all shareholders to provide the identity and address proof required by the company’s Articles and Memorandum.

Shareholder: An artificial judicial or corporate entity

When one of the shareholders or subscribers to the MOA and AOA is a corporation, limited liability company, partnership company, etc., the Certificate of Incorporation of the Body Corporate must accompany the resolution passed by the Body Corporate to subscribe to the shares of the company under incorporation.

Along with the above proofs and documents, the promoters of the company also require notarized legal documents.
