Changing a firm’s registered office address is a complicated and lengthy process that involves multiple legalities. It is the main office from which all authorized reports and other important information about the firm are sent. A firm may also have other departments, such as a corporate office, a district office, or other manufacturing plants, in addition to its registered department. 

In order to register the registered office, the firm must register it with the Ministry of Corporate Affairs (MCA). Proponents of the firm decide on its registered office area and location. A firm’s registered headquarters must be announced to the ROC via form INC 22. Any changes to the registered office need to be communicated to the ROC after the filing.

Reason for Change in Registered Office Address

Changing the registered office can be done for a number of reasons. Both stakeholders and the board of directors have the option of selecting the location.

Occasionally, it may be necessary to relocate the registered department area from one place to another. The only explanation needed is their satisfaction.

  • Whenever a company grows rapidly and its current office area and infrastructure do not meet the company’s needs, its registered office address should be changed
  • There may be instances in which the company is in the final months of its lease or rent, intending to move to a better location when it ends the lease.
  • Changing the registered office to an area where it can examine the required possibilities for expanding a business for employment development is one of the options a firm may want to consider if it intends to expand its business for employment development
  • A change of enrolled office address is inevitable if another firm buys out yours.

Change of Registered Office Documents

If you would like to fix a place for your company’s registered office, you will need to notify the ROC of the location at the time of incorporation. Make sure you submit the following essential documents while deciding the place for your company’s registered office:

  • Electricity/gas bills
  • Receipt for possession tax
  • Registered office owner’s NOC collected
  • Owner-firm lease agreement

In order to ensure the correct terms of the rental agreement, please make sure that the name and address you have given on the bill for electricity/gas/property tax are the same as those on the NOC receipt provided by the owner of the property and in the rental agreement.

Additionally, a company cannot appoint a registered office to a facility under construction. Despite the fact that a registered office is not typically proclaimed as a retail or industrial commodity, a residential commodity can be proclaimed as a registered office.

Changing a Company’s Registered Office Within the Same State

A private limited company registered department address will differ from one area within the state boundaries to another within the same state boundary if the address of the registered department differs from one area to another within the same state boundaries:

  • The board conducts a conference and makes a decision
  • In order to proceed with a determination, an applicant must submit form INC-22 to the Registrar of Companies (ROC) no later than 15 days after the date the determination is initiated.

Documents Required With Form INC-22

  • Registered headquarters’ most recent address
  • Not more than two months old gas and electric bills
  • The NOC was collected from the landlord in conjunction with the address.

A Private Limited Company’s Registered Office Can Be Moved Outside Its Existing Town, City, Or Village

The following protocol must be followed when the registered office of a private limited company moves from outside of the city, town, or village:

  • The Extra Ordinary General Meeting (EGM) is scheduled for a specific date, day, and time, as well as a specific location in the company, following a board conference.
  • An Extra-Ordinary General Meeting concludes that the office address is different
  • Documentation of the determination is to be submitted to the Registrar of Companies (ROC),

Documents Required

Form MGT-14

  • The resolution in its authorized form
  • Form INC-22 is documented with the ROC within 15 days of initiating the conclusion.

Form INC-22

  • Registrar’s address document
  • Two months’ worth of utility bills (no older than that)
  • Collecting the landlord’s NOC for the place
  • Resolution of special importance
